Company records kit
The papers your company keeps after the Articles
Sunbiz forms the company. Banks, partners and the IRS then ask for the rest: an operating agreement or bylaws, proof of who owns what, and a record of the first decisions. The kit puts them in one place, prepared from standard templates using the information you give us.

What's in the kit
Operating agreement or bylaws
An operating agreement for a single-member or multi-member LLC, or bylaws for a corporation, prepared from standard templates using the facts you give us: the owners, who runs the company and how decisions are made.
Membership or stock certificates
Membership certificates for an LLC or stock certificates for a corporation, one for each owner, numbered and ready to sign.
Ownership ledger
The membership or stock ledger: who owns what, each certificate number and the date it was issued, with room to record later transfers.
Organizational minutes or written consent
Templates for the first decisions: adopting the agreement or bylaws, naming the managers or officers, issuing the ownership and opening the bank account, signed at a first meeting or as a written consent without one.
Banking resolution
The resolution most banks ask for when you open the business account, naming who may sign for the company.
Help getting the EIN
The company's federal tax ID number, which the bank and the IRS need. We collect the responsible party's Social Security number by phone or through the secure client portal, never by email.
S corporation election
If the company will be taxed as an S corporation, the election (Form 2553) is done through Spargur Tax & Accounting, William Spargur's tax practice: $125, billed separately ($450 for a late election with relief).
What it costs
- With formation
- Added when we form the company for you
- $250
- On its own
- For a company that is already on Sunbiz
- $350
Standard templates, and your attorney
We prepare these from standard templates using the information you give us. This isn't legal advice, and we don't write custom terms. For buy-sell provisions, unequal ownership, investors or anything unusual, your attorney should draft or review the agreement; we're glad to work with them.
- You confirm every fact. Each document is filled in from your answers, and you review it before anyone signs.
- Tax choices go to the tax practice. The S corporation election is handled through Spargur Tax & Accounting.
